General terms of sale

This document is a template provided for informational purposes. It must be adapted to your situation (company name, registration numbers, address, commercial policy, pricing, VAT, mediation, etc.) with your legal counsel.

1. Purpose – Scope of application

These general terms of sale (the "GTS") govern the conditions for subscribing to and purchasing the services offered under the Billify brand (the "Service"), in particular the sale of subscriptions and/or credits (pages) enabling use of the OCR and analysis features.

The GTS apply to any order placed via the website and/or the customer area. They take precedence over any other document, except for specific written conditions accepted by Billify.

3. Definitions

4. Offer – Order – Account creation

4.1. Offer presentation

Offers (plans, included volumes, options, pricing) are presented on the Pricing page and/or in the "My subscription" area. Billify may evolve its offers; the conditions applicable to the Client are those in force at the time of the order.

4.2. Order

The order is placed online. The Client reviews the details (plan / period / price) before payment. Any confirmed order constitutes acceptance of the GTS.

4.3. Account and information

The Client agrees to provide accurate and up-to-date information. In the event of manifestly incorrect information, Billify may suspend access until the situation is rectified.

5. Prices – Taxes

Prices are stated in euros. Unless otherwise indicated, prices are excluding VAT. Applicable taxes (VAT) are added at the time of payment according to the Client's tax situation.

Billify reserves the right to change its prices. New prices do not apply to current subscriptions before their next renewal date (unless required by law or agreed by the Client).

6. Payment – Payment provider

Payment is made via a secure payment provider (for example Stripe). Accepted payment methods may include bank card and other methods offered by the provider.

Billify does not store card data. Transactions are processed by the provider, under its own terms and policies.

7. Subscriptions

7.1. Period – Renewal

Subscriptions are taken out for a period (monthly or annual). Unless otherwise stated, the subscription is automatically renewed at each due date, at the rate in force on the date of renewal.

7.2. Cancellation

The Client may cancel at any time from their "My subscription" area. Cancellation takes effect at the end of the current subscription period. No pro-rata refund is owed for the period already paid, unless required by applicable law.

7.3. Included pages – Overages

Each plan includes a volume of pages/credits per period. In the event of overage, additional charges may apply (per-page price or automatic top-up), depending on the chosen offer. Details are specified on the Pricing page and/or in the customer area.

8. Credit packs

Billify may offer credit packs on a unit basis (without a subscription) or as a supplement to a subscription. Credits are consumed when documents are analysed. Unless otherwise stated, credits are non-refundable and may have a validity period (to be specified).

9. Billing – Receipts – Archiving

An invoice is made available in the customer area after payment and/or sent by email. The Client is responsible for retrieving and archiving their invoices.

For legal obligations, certain data (invoices, accounting entries) may be retained for the period required by law.

10. Right of withdrawal (consumer)

If the Client is a consumer within the meaning of applicable consumer law, they have in principle a withdrawal period of 14 days from the date of subscription.

For digital services, the Client may request immediate performance. In that case, they acknowledge that performance begun before the end of the period may result in the loss of the right of withdrawal when the service is fully performed, in accordance with applicable legal provisions.

11. Service performance – Availability

Access to the Service is provided in SaaS mode via the Internet. Billify endeavours to ensure 24/7 availability, except during maintenance, incidents, updates, and force majeure events.

Billify does not guarantee absolute availability or perfect extraction results: OCR/AI may produce errors. The Client remains responsible for verifying extracted data before accounting, tax, or legal use.

12. Support – Claims

Support is accessible via the email address stated in article 2 (or via the contact form). The Client should describe the issue clearly (account, billing, file, error, etc.).

13. Liability – Limitations

Billify's liability shall not be engaged for indirect damages (data loss, loss of opportunity, loss of revenue, commercial loss…).

For professional Clients, Billify's total liability (for all causes combined) is limited to the amount excluding VAT actually paid by the Client during the 12 months preceding the triggering event.

14. Data – Confidentiality – GDPR

The terms governing personal data processing (purposes, legal bases, retention periods, rights, subprocessors) are set out in the Privacy policy. Billify implements reasonable security measures (encryption in transit, access control, logging, etc.).

15. Termination – Suspension

Billify may suspend access to the Service in the event of non-payment, fraud, breach of the GTS/Terms of Use, security threat, or abusive use. In the event of a serious breach, Billify may terminate after notification that has remained without effect (details to be specified).

16. Force majeure

Neither party shall be held liable in the event of force majeure within the meaning of applicable law, making it impossible to perform its obligations (major outage, natural disaster, administrative decision, etc.).

17. Governing law – Disputes

These GTS are governed by French law.
